<h2>Terms of Service</h2>
<p><strong>Effective date:</strong> April 21, 2026</p>

<p>These Terms of Service (the "Terms") govern your access to and use of the LugIt mobile applications, the website at lugit.co, and related services (collectively, the "Services"), operated by LugIt LLC ("LugIt," "we," or "us"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.</p>

<h2>1. The LugIt Marketplace</h2>
<p>LugIt is a peer-to-peer marketplace that connects three types of users:</p>
<ul>
  <li><strong>Shippers</strong> — people who need an item delivered.</li>
  <li><strong>Couriers</strong> — people who are traveling and agree to carry items for Shippers in exchange for payment.</li>
  <li><strong>Receivers</strong> — the recipients of delivered items, identified by the Shipper.</li>
</ul>
<p><strong>LugIt is not a carrier, shipper, freight forwarder, or common carrier.</strong> We do not take possession of, inspect, transport, or insure items. We provide technology that allows users to discover each other and transact. The contract of carriage is between the Shipper and the Courier.</p>

<h2>2. Eligibility and Accounts</h2>
<ul>
  <li>You must be at least 18 years old and legally able to enter into a contract.</li>
  <li>You must provide accurate information and keep it up to date.</li>
  <li>You are responsible for everything that happens under your account, including for keeping your credentials secure. Notify us at support@lugit.co immediately if you believe your account has been compromised.</li>
  <li>We may require phone verification, email verification, government-ID verification, and Stripe Connect onboarding before you can use certain features.</li>
  <li>You may hold only one account. LugIt may suspend or terminate duplicate, fraudulent, or non-compliant accounts at its discretion.</li>
</ul>

<h2>3. Prohibited Items</h2>
<p>You may not list, ship, carry, or request delivery of any of the following:</p>
<ul>
  <li>Illegal drugs, controlled substances, or drug paraphernalia.</li>
  <li>Firearms, ammunition, explosives, fireworks, or weapons of any kind.</li>
  <li>Hazardous materials, including flammable, corrosive, radioactive, or toxic substances, lithium batteries shipped separately from the device they power, and items restricted by IATA, ICAO, or local transport regulations.</li>
  <li>Live animals, human remains, or biological or medical waste.</li>
  <li>Currency, negotiable instruments, gift cards of material value, precious metals, or loose gems.</li>
  <li>Stolen goods, counterfeit goods, or goods that infringe another person's intellectual-property rights.</li>
  <li>Items whose import or export is prohibited or restricted by the origin or destination country, including items subject to sanctions or customs restrictions.</li>
  <li>Items that would require a Courier to violate airline, border, or customs rules.</li>
  <li>Perishable items, unless pickup and delivery arrangements make transport safe and the parties agree in writing.</li>
  <li>Any item the Courier cannot lawfully possess or transport.</li>
</ul>
<p>Shippers are responsible for accurately and truthfully describing items. Couriers may refuse any item and are responsible for complying with all applicable laws, including customs declarations. Violations are grounds for immediate account termination and may be reported to law enforcement.</p>

<h2>4. Listings, Requests, Orders, and Negotiations</h2>
<ul>
  <li>Couriers may create <strong>travel listings</strong> describing an upcoming trip and capacity.</li>
  <li>Shippers may browse listings, make offers, or post <strong>requests</strong> that matched Couriers can respond to.</li>
  <li>Shippers and Couriers may engage in a single round of price negotiation per order. Expired or rejected offers may not be revived without a new offer.</li>
  <li>An order becomes binding when the Shipper's payment is authorized and the Courier has accepted the order.</li>
  <li>Local same-city delivery is supported where enabled.</li>
</ul>

<h2>5. Fees, Payments, and Payouts</h2>
<ul>
  <li>Prices are set by Shippers and Couriers. LugIt may set minimum prices by category.</li>
  <li>Payments are processed by Stripe. When the Shipper is charged, LugIt holds funds until the delivery window closes.</li>
  <li>LugIt deducts a platform commission (currently 20%, subject to change with notice). The balance is paid to the Courier through Stripe Connect after the applicable dispute window.</li>
  <li>Couriers must complete Stripe Connect onboarding, including any required KYC, tax, and bank information, to receive payouts.</li>
  <li>All amounts are shown in the currency indicated in the app. Applicable taxes are your responsibility unless LugIt is required by law to collect them.</li>
  <li>Refunds, chargebacks, and reversals may be deducted from future Courier payouts. You authorize LugIt to debit Courier balances to recover disputed, fraudulent, or incorrectly released funds.</li>
</ul>

<h2>6. Cancellations, Disputes, and Refunds</h2>
<ul>
  <li>A Shipper may cancel before the item has been picked up. Cancellation fees may apply.</li>
  <li>A Courier who cancels after accepting an order may be subject to fees and account penalties.</li>
  <li>After delivery, a Shipper has a limited window (currently 48 hours) to open a dispute. If no dispute is opened, funds are released to the Courier.</li>
  <li>LugIt will review disputes in good faith. We may require photos, chat history, tracking data, and other evidence. Our dispute decisions are final with respect to platform funds but do not prevent you from pursuing claims under applicable law.</li>
  <li>Small automatic refunds may be issued below a threshold to keep operations running smoothly.</li>
</ul>

<h2>7. Conduct and Safety</h2>
<ul>
  <li>Treat other users with respect. Harassment, threats, hate speech, and unlawful conduct are prohibited.</li>
  <li>Do not attempt to circumvent payment, identity verification, commission, or dispute processes.</li>
  <li>Do not scrape, reverse engineer, probe, or load-test the Services, or interfere with their operation.</li>
  <li>Do not use another person's identity or misrepresent your affiliation with a person or organization.</li>
  <li>Meet in safe public places when exchanging items, and follow local laws and public-health guidance.</li>
</ul>

<h2>8. User Content</h2>
<p>You retain ownership of the content you submit, including photos, ratings, and messages. You grant LugIt a worldwide, non-exclusive, royalty-free license to host, display, reproduce, translate, and transmit that content for the purpose of operating and improving the Services, enforcing these Terms, and complying with law. You represent that you have the rights necessary to grant that license.</p>

<h2>9. Ratings and Reviews</h2>
<p>Ratings and reviews must be honest and based on actual experience. LugIt may remove content that is fraudulent, off-topic, discriminatory, or violates these Terms.</p>

<h2>10. Termination</h2>
<p>You may stop using the Services at any time and may request account deletion via support@lugit.co. LugIt may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or unlawful behavior, or pose a risk to other users or to LugIt. Provisions that by their nature should survive termination will survive, including fee obligations, indemnification, disclaimers, limitations of liability, and dispute-resolution provisions.</p>

<h2>11. Disclaimers</h2>
<p>THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LUGIT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITEMS WILL BE DELIVERED IN ANY PARTICULAR TIMEFRAME, CONDITION, OR AT ALL. LUGIT IS NOT RESPONSIBLE FOR THE CONDUCT, STATEMENTS, OR PERFORMANCE OF ANY USER OF THE SERVICES.</p>

<h2>12. Limitation of Liability</h2>
<p>TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUGIT, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. LUGIT'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES LUGIT RECEIVED FROM YOU IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OR ALL OF THEM MAY NOT APPLY TO YOU.</p>

<h2>13. Indemnification</h2>
<p>You agree to indemnify and hold harmless LugIt and its affiliates from any claim, demand, damage, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Services, the items you ship or carry, your violation of these Terms, or your violation of any law or the rights of any third party.</p>

<h2>14. Governing Law and Dispute Resolution</h2>
<p>These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in the county where you reside, or, at your election, at the AAA location nearest LugIt's principal place of business. Either party may bring an individual action in small-claims court or seek injunctive relief in a court of competent jurisdiction for intellectual-property infringement. <strong>You and LugIt waive any right to a jury trial and to participate in a class action or representative proceeding.</strong> If the class-action waiver is held unenforceable, the remainder of this section survives.</p>

<h2>15. Changes to the Services or These Terms</h2>
<p>We may update the Services and these Terms from time to time. Material changes to these Terms will be notified via the app or email at least 14 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.</p>
